1. Acceptance of Terms

By accessing and using ContractForYou ("the Service"), you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, you must immediately discontinue use of the Service.

2. Service Description

ContractForYou is an AI-powered platform that assists users in creating, reviewing, and managing legal contracts. The Service includes AI-generated content, document templates, and professional legal assistance tools provided on an "as-is" basis.

3. Payment Terms and Billing

ContractForYou operates on a credit-based system. Payment processing is handled by FastSpring, our authorized payment partner.

• Credits are required for premium features including document downloads and advanced AI analysis
• All payments are processed securely through FastSpring's payment platform
• Prices are displayed in USD and may be subject to applicable taxes and fees
• Credits do not expire but are non-transferable and non-refundable except as required by law
• Unauthorized chargebacks will result in immediate account suspension and potential legal action
• All sales are final unless otherwise required by applicable law

4. Refund Policy

Refunds are subject to our strict refund policy available at contractforyou.com/refund. By using the Service, you acknowledge that refunds are provided at our sole discretion and only under exceptional circumstances.

5. User Accounts and Responsibilities

Users are fully responsible for:

• Maintaining absolute confidentiality of their account credentials
• All activities that occur under their account, including unauthorized access
• Providing accurate, current, and complete information at all times
• Complying with all applicable laws, regulations, and these terms
• Any damages or losses resulting from account misuse

6. AI-Generated Content and Legal Disclaimers

• Does not constitute legal advice under any circumstances
• Is not a substitute for consultation with qualified legal professionals
• May contain errors, omissions, or inaccuracies
• Should be reviewed by a qualified attorney before use
• Is provided without any warranties or guarantees of accuracy

Users are solely responsible for reviewing and verifying all generated content and are strongly advised to seek independent legal counsel before executing any contracts or legal documents.

7. Intellectual Property Rights

ContractForYou retains exclusive ownership of the platform, AI models, proprietary technology, and all related intellectual property. Users are granted a limited, non-exclusive, non-transferable license to use the Service subject to these terms.

8. Privacy and Data Protection

Your use of our Service is governed by our Privacy Policy, available at contractforyou.com/privacy. By using the Service, you consent to our data collection and processing practices as described therein.

9. Prohibited Uses

Users are strictly prohibited from:

• Using the Service for any illegal activities or unlawful purposes
• Generating contracts for unlawful, harmful, or fraudulent purposes
• Attempting to reverse engineer, decompile, or extract the AI system or underlying technology
• Sharing account credentials, reselling credits, or transferring accounts
• Uploading malicious content or attempting to compromise system security
• Violating any third-party rights or applicable laws
• Using the Service in any manner that could damage, disable, overburden, or impair our systems

10. Service Availability and Modifications

We reserve the absolute right to modify, suspend, or discontinue any aspect of the Service at any time without notice. We do not guarantee uninterrupted access and shall not be liable for any service interruptions or modifications.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• CONTRACTFORYOU AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• THIS INCLUDES BUT IS NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE LESSER OF $100 USD OR THE AMOUNT PAID FOR SERVICES IN THE 12 MONTHS PRECEDING THE CLAIM
• THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY

12. Indemnification

You agree to defend, indemnify, and hold harmless ContractForYou, its officers, directors, employees, agents, and affiliates from any and all claims, damages, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these terms, or violation of any rights of another party.

13. Dispute Resolution

Any disputes arising from these terms shall be resolved through binding arbitration administered by the International Chamber of Commerce (ICC) under its International Arbitration Rules. The arbitration shall be conducted in English, and the seat of arbitration shall be Singapore. You waive any right to a jury trial or class action.

14. Governing Law

These terms are governed by and construed in accordance with international commercial law principles and the laws of Singapore, without regard to conflict of law principles. Any legal proceedings shall be subject to the exclusive jurisdiction of the courts of Singapore.

15. Changes to Terms

We may update these Terms of Service at any time without prior notice. Changes become effective immediately upon posting. Your continued use of the Service after changes constitutes acceptance of the new terms. It is your responsibility to review these terms regularly.

16. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, at our sole discretion for any reason, including breach of these terms. Upon termination, your right to use the Service ceases immediately, but provisions regarding liability, indemnification, and dispute resolution shall survive termination indefinitely.

17. Severability

If any provision of these terms is found to be unenforceable, the remainder shall continue in full force and effect, and the unenforceable provision shall be modified to the minimum extent necessary to make it enforceable while preserving its original intent.

18. Force Majeure

ContractForYou shall not be liable for any failure to perform due to causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, pandemic, government regulations, or technical failures.

19. Entire Agreement

These Terms of Service, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and ContractForYou and supersede all prior agreements and understandings.
